{"id":24977,"date":"2024-07-11T00:00:00","date_gmt":"2024-07-10T23:00:00","guid":{"rendered":"https:\/\/www.labrador-transparency.com\/?p=24977"},"modified":"2026-06-05T15:49:30","modified_gmt":"2026-06-05T14:49:30","slug":"artificial-intelligence-disclosure","status":"publish","type":"post","link":"https:\/\/www.labrador-transparency.com\/en\/blog\/artificial-intelligence-disclosure\/","title":{"rendered":"Artificial Intelligence Disclosure"},"content":{"rendered":"\t\t<div data-elementor-type=\"wp-post\" data-elementor-id=\"24977\" class=\"elementor elementor-24977\" data-elementor-post-type=\"post\">\n\t\t\t\t<div class=\"elementor-element elementor-element-e1a7f6f e-ecs-flex e-flex e-con-boxed e-con e-parent\" data-id=\"e1a7f6f\" data-element_type=\"container\" data-e-type=\"container\" data-settings=\"{&quot;ecs_container_type&quot;:&quot;flex&quot;}\">\n\t\t\t\t\t<div class=\"e-con-inner\">\n\t\t\t\t<div class=\"elementor-element elementor-element-810dab7 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"810dab7\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ul><li><span style=\"font-weight: 400;\">76% reported with reference to or in accordance with GRI, which focuses on the material<\/span><span style=\"font-weight: 400;\"><sup>2<\/sup> <\/span><span style=\"font-weight: 400;\">impact a company has on the economy, the environment, and people and society;<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">82% reported following the TCFD standards, which focuses on the material financial impact to the company of climate matters; and<\/span><\/li><li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">90% reported on the SASB standards for their industries, again focusing on material financial impact of environmental and social matters.<\/span><\/li><\/ul><p><span style=\"font-weight: 400;\">Assuming that the practices of the benchmarked companies are generally adopted by companies outside that group, it is reasonable to infer that most sustainability reports contain disclosures of matters that <\/span><span style=\"font-weight: 400;\">are significant to the company based on their financial impact or based on the company\u2019s impact of the world around it. In the context of AI then, a starting point for considering what to disclose in the report is three-pronged: <\/span><b>what do your stakeholders want to know about\/what is important to them regarding the company\u2019s interaction with AI; what impact does AI have on your operations, strategy and results; and what impact does your use of AI have on people, the environment and the economy? <\/b><span style=\"font-weight: 400;\">Companies reporting in alignment with GRI will recognize this as similar to the considerations for determining material topics set out in GRI 3.<\/span><\/p><p><span style=\"font-weight: 400;\">At the same time, reporting companies need to think about disclosure rules and regulations as they discuss AI capabilities and the role in their business. SEC Chair Gary Gensler has cautioned against \u201cAI washing\u201d and emphasized that companies must be \u201ctruthful about its use of AI and associated risk.\u201d<\/span><span style=\"font-weight: 400;\">\u00b3<\/span><\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8be95d6 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"8be95d6\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol><li>This article makes no attempt to distinguish the various types of artificial intelligence.<\/li><li>Unless otherwise stated, references in this thought piece to \u201cmaterial\u201d refer to the definition given to that term in the relevant regulation, standard or framework, and not to the definition of materiality under US federal securities law.<\/li><li><a href=\"https:\/\/www.sec.gov\/news\/speech\/gensler-ai-021324\" target=\"_blank\" rel=\"noopener\">https:\/\/www.sec.gov\/news\/speech\/gensler-ai-021324<\/a><\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-36e936a elementor-widget elementor-widget-text-editor\" data-id=\"36e936a\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Below are some issues and matters to evaluate through this lens as companies consider the content of their next sustainability report.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-91871fb elementor-widget elementor-widget-heading\" data-id=\"91871fb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">AI and Governance<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-27daa41 elementor-widget elementor-widget-text-editor\" data-id=\"27daa41\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>Governance, loosely defined, is how the company makes and manages decisions, maintains integrity and compliance, and provides transparency to its stakeholders. The use of a relatively new and rapidly-developing technology like AI involves governance considerations on many levels. According to a <a href=\"http:\/\/www2.deloitte.com\/content\/dam\/Deloitte\/us\/Documents\/consulting\/us-state-of-gen-ai-reports.pdf\" target=\"_blank\" rel=\"noopener\">Deloitte survey<\/a> of over 2,800 executives across six industries and 16 countries in late 2023, while the vast majority of respondents (79%) expected generative AI to drive substantial transformation within their organization and industry over the next three years, only 25% said they were highly prepared to address governance and risk concerns (with 41% reporting that their companies were only slightly or not at all prepared). The speed of AI evolution and adoption (or pressure to adopt) may outpace more methodical governance decisions.<\/p><p>Questions regarding governance that companies may want to consider and address in sustainability reports include:<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7942f83 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"7942f83\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">What governance structures are in place around how AI is evaluated, used and monitored in the company\u2019s operations, products and services?<\/span>\n<ol>\n \t<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">How are AI risks integrated into the company\u2019s risk management system?<\/span><span style=\"font-weight: 400;\"><sup>4<\/sup><\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">How are AI risks being incorporated into the crisis management program (including resilience and redundancy)?<\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"2\"><span style=\"font-weight: 400;\">Does the company have AI Principles governing the ethical use of AI?<\/span><span style=\"font-weight: 400;\"><sup>5<\/sup><\/span><\/li>\n<\/ol>\n<\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How is the impact of AI being assessed, and what kinds of impact &#8212; financial and operational impact on the company, or the impact on people, the environment and the economy, or both?<\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How is the integrity of AI being managed (ethical use and algorithmic bias, intentional or historic\/unintentional)<\/span><span style=\"font-weight: 400;\"><sup>6<\/sup><\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How does the board oversee AI use and its implications? What is the frequency and quality of information from management?<\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Should AI be a separate board skill? Should there be board proficiency, fluency or expertise?<\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How are employees educated on how AI works and is used in the business; its benefits and pitfalls; ethical considerations?<\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How is AI used in creating public disclosures\/content?<\/span><\/li>\n \t<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">How is AI helping achieve ESG or transition goals?<\/span><\/li>\n<\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-d4df63f bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"d4df63f\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<ol start=\"4\"><li>The US National Institute of Standards and Technology (NIST) issued an Artificial Intelligence Risk Management Framework in January 2023.<\/li><li>See for example Google, <a href=\"https:\/\/ai.google\/responsibility\/principles\" target=\"_blank\" rel=\"noopener\">ai.google\/responsibility\/principles<\/a>.<\/li><li>See Former SEC Commissioner Kara Stein\u2019s discussion of programmable (intentional), predictable (reckless) and unpredictable harm (AI Governance in the Financial Industry, Stanford Journal of Law, Business and Finance Vol. 27 No. 1, 2022)<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-6fc6b66 elementor-widget elementor-widget-heading\" data-id=\"6fc6b66\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">AI and Human Capital Management<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-a4c35a2 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"a4c35a2\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>A key component of the Biden administration\u2019s October 2023 <a href=\"https:\/\/www.whitehouse.gov\/briefing-room\/presidential-actions\/2023\/10\/30\/executive-order-on-the-safe-secure-and-trustworthy-development-and-use-of-artificial-intelligence\/\">Executive Order on Safe, Secure and Trustworthy Artificial Intelligence<\/a> was to address job displacement and workforce training. Deloitte\u2019s survey found that only 22% of respondents felt that their companies were highly prepared to address talent concerns, and Deloitte believes that most organizations have yet to substantially address workforce challenges arising from large-scale AI adoption.<\/p><p>Consider what human capital matters are sufficiently significant and ripe to address in the sustainability report (and Form 10-K), perhaps including:<\/p><ol><li>What positive and negative impacts of AI are occurring\/anticipated to occur on the workforce? How are those impacts being managed?<\/li><li>Is AI being used to improve the quality of worker life? Is training\/upskilling provided?<\/li><li>How is the company engaging\/communicating with the workforce to make them feel comfortable about how AI will impact the workplace and address concerns?<\/li><li>How is the company planning for the workforce of tomorrow as a result of AI use?<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-c2c0ea1 elementor-widget elementor-widget-heading\" data-id=\"c2c0ea1\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">AI and Strategy\/Operations<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-24acf35 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"24acf35\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>While the Form 10-K and annual report are the venues for reporting on the details of company operations and strategy, the sustainability report should touch on those topics to put sustainability in context. Consider whether and how the sustainability report should discuss the role of AI in the company\u2019s strategy and operations, so that stakeholders can better understand what sustainability means for the company\u2019s future. Matters to consider include:<\/p><ol><li>How is AI changing how the business will be operated?<\/li><li>How is AI changing the products and services offered by the company?<\/li><li>What are the financial implications \u2013 capital needs, costs, cost savings, revenue, etc. &#8211; of AI?<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-7d76ffb elementor-widget elementor-widget-heading\" data-id=\"7d76ffb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">AI and Data Privacy and Security<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-f44a3e4 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"f44a3e4\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The Biden executive order also focused on protecting the privacy of personal data. AI may similarly pose a threat to business data. In connection with the company\u2019s cybersecurity efforts, consider whether it is appropriate to discuss plans, programs and actions designed to protect employee, customer, and proprietary data when interacting with AI.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-8cdba33 elementor-widget elementor-widget-heading\" data-id=\"8cdba33\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">AI and the Environment<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-bbdadc9 bullet-list elementor-widget elementor-widget-text-editor\" data-id=\"bbdadc9\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>The use of AI presents environmental issues ranging from the natural resource impact of chip production, to emissions and water use resulting from the computing power needed to train and run AI, to the environmental impact of the products brought to market as a result of AI. US legislators are concerned about this issue; for example, in February 2024, the House and the Senate introduced identical bills &#8211; the Artificial Intelligence Environmental Impacts Act of 2024 &#8211; seeking to develop standards (through NIST) to measure and report the full range of AI\u2019s environmental impact.<\/p><p>Consider how the impact of AI on environmental sustainability should be discussed in the sustainability report.<\/p><ol><li>Is the company able to calculate Scope 1 and Scope 3 emissions (upstream and downstream) resulting from its use of AI?<\/li><li>Can\/will the company assess the other environmental impacts arising from the use of AI?<\/li><li>How will adverse impacts be mitigated? Does the company expect environmental benefits from its use of AI?<\/li><\/ol>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-2b2f1cb elementor-widget elementor-widget-heading\" data-id=\"2b2f1cb\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"heading.default\">\n\t\t\t\t\t<h2 class=\"elementor-heading-title elementor-size-default\">Shareholder Proposals Concerning AI<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<div class=\"elementor-element elementor-element-e7b7790 elementor-widget elementor-widget-text-editor\" data-id=\"e7b7790\" data-element_type=\"widget\" data-e-type=\"widget\" data-widget_type=\"text-editor.default\">\n\t\t\t\t\t\t\t\t\t<p>As quickly as ChatGPT stormed in to make AI accessible to the masses, so did shareholder proposals seeking more disclosure about how companies are using, and evaluating the impact of, AI. In the last two years, those proposals mainly focused on four concerns: (1) the risk of misinformation generated via AI; (2) transparency about the ethical parameters around AI use; (3) the impact on human rights of AI-driven targeted advertising; and (4) transparency about board oversight of AI. The most prominent of the AI-related shareholder proposals are set out below (results rounded to nearest 1%).<\/p><p>While none of these proposals passed, the flurry of AI proposals indicates that investors want assurances regarding the use and impact of AI.
